Terms and Conditions for AspireForce
1. Introduction
1.1. These terms and conditions ("Agreement") govern the provision of recruitment services by AspireForce, a UK-based recruitment business ("AspireForce," "we," "us," or "our") to our clients ("Client," "you," or "your").
1.2. By engaging our services, you agree to be bound by these terms and conditions.
2. Definitions
2.1. "Candidate" means any person introduced by AspireForce to the Client for the purpose of seeking employment.
2.2. "Fee" means the amount payable by the Client to AspireForce in consideration for the introduction of a Candidate resulting in an offer of employment, whether accepted or not.
2.3. "Services" means the recruitment services provided by AspireForce to the Client.
3. Fees
3.1. The Client agrees to pay the Fee upon the Candidate's acceptance of the offer of employment, regardless of whether the Candidate commences employment.
3.2. The Fee is calculated as a percentage of the Candidate's first-year remuneration package.
3.3. The percentage is agreed upon between AspireForce and the Client before the provision of our services.
3.4. VAT will be added to all Fees at the prevailing rate.
4. Payment Terms
4.1. Payment of the Fee is due within 30 days of the Candidate's acceptance of the offer of employment.
4.2. In the event that payment is not received within the 30-day period, AspireForce reserves the right to charge interest on any outstanding amount at the rate of 8% per annum above the Bank of England base rate.
4.3. If payment is not made within 60 days of the invoice date, AspireForce reserves the right to take legal action to recover the debt.
5. Liability and Indemnity
5.1. AspireForce shall not be liable for any loss, damage, or expense incurred by the Client arising from the introduction or engagement of any Candidate.
5.2. The Client agrees to indemnify and hold harmless AspireForce from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from the Client's use of our Services.
6. Confidentiality
6.1. The Client agrees to keep confidential any information regarding Candidates introduced by AspireForce and to use such information solely for the purpose of seeking employment for the Candidate.
6.2. The Client agrees to indemnify and hold harmless AspireForce from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from any breach of confidentiality.
7. Termination
7.1. Either party may terminate this Agreement by giving 14 days' written notice to the other.
7.2. In the event of termination, the Client shall pay AspireForce for all Services rendered up to the date of termination.
8. General
8.1. These terms and conditions constitute the entire agreement between AspireForce and the Client and supersede all prior agreements and understandings, whether written or oral.
8.2. This Agreement shall be governed by and construed in accordance with English law, and the parties submit to the exclusive jurisdiction of the English courts.
8.3. No variation to this Agreement shall be effective unless in writing and signed by both parties.
